These Terms and Conditions ("Agreement") govern the access and use of the [Application Name] platform ("Platform") by vendors ("You" or "Vendor") who wish to list, market, and sell their products through our services.

By registering and using the platform, you agree to comply with the following terms and all applicable laws in the United Arab Emirates. If you do not agree, please do not use this service.
- 1.
Vendor Registration and Subscription Fee
- a)
Vendors must pay a non-refundable annual service fee of AED 399.
- b)
This fee grants access to the platform's services for a period of 12 months.
- c)
Service renewal is required annually to continue listing and selling products.
- 2.
Transaction Fees
- a) For each sale or transaction:

AED 2.5 will be deducted as an application service fee.
- c)
AED 2.5 will be deducted as a bank processing fee.
- d)
Fees are non-refundable, and automatically deducted from each successful transaction.
- 3.
Taxes and Financial Compliance
- a)
Vendors are individually responsible for complying with the tax regulations of the UAE Federal Tax Authority (FTA), including registration, collection, and payment of VAT or other applicable taxes.
- b)
The platform shall not be held responsible for the vendor's tax obligations.
- 4.
Legal Use and Compliance
- a)
Vendors must only list and sell products that are legal under UAE and international laws.
- b) The platform prohibits the sale of:
- c) Counterfeit or unlicensed products.
- d) Restricted or banned items.
- e)
Items violating intellectual property or brand laws.
- f)
Vendors are solely responsible for verifying the legality and compliance of their products.
- g)
Important Disclaimer: The platform and its owners are not responsible or liable for any illegal, unethical, or unauthorized actions conducted by the vendors. All liability for legal violations rests with the vendor.
- 5.
Intellectual Property
- a)
Vendors must have proper ownership or license to use any product images, logos, brand names, or trademarks.
- b)
The application bears no responsibility for any intellectual property violations or disputes arising from vendor content.
- 6.
Fulfillment, Shipping, and Customer Service
- a) Vendors are fully responsible for:
- b) Packing and delivering orders.
- c)
Managing logistics or integrating with third-party shipping companies.
- d)
Handling customer service, returns, refunds, and inquiries.
- e)
Shipping costs and liabilities are outside the responsibility of the platform owner.
- 7.
Account Suspension and Termination
We reserve the right to suspend, deactivate, or permanently ban any vendor account without prior notice if:
- a)
There is suspicion or evidence of illegal activity.
- b)
There are repeated customer complaints.
- c)
The vendor breaches any terms of this agreement.
- d)
Suspension does not entitle the vendor to any refund of fees.
- 8.
Limitation of Liability
- a) The platform shall not be liable for:

Vendor disputes or customer complaints.
- c)
Product quality, defects, or legal status.
- d) Shipping issues, delays, or losses.
- e)
Financial losses incurred by the vendor.
- f)
The maximum liability of the platform owner, if any, will not exceed the vendor's annual service fee paid.
- 9.
Indemnification
You agree to fully indemnify and hold harmless the platform, its owners, affiliates, employees, and partners against any claims, damages, liabilities, legal costs, or losses resulting from:
- a) Your product listings.
- b) Your use of the platform.
- c) Your violation of these terms.
- d)
Your engagement in illegal or non-compliant activities.
- e)
This indemnification obligation survives the termination of your account.
- 10.
Data Privacy and Security
- a)
The platform may collect and store vendor data as required to operate effectively.
- b)
All data will be managed in accordance with UAE data protection laws and will not be sold to third parties.
- c)
Vendors must not misuse customer information obtained through the platform.
- 11.
No Guarantee of Sales or Profits
- a)
The platform does not guarantee any level of sales, visibility, or income.
- b)
Success depends entirely on the vendor's products, pricing, marketing, and customer service.
- 12.
Platform Ownership and Control
- a)
All rights, title, and interest in the platform remain the sole property of the application owner.
- b)
Vendors may not copy, modify, reverse engineer, or interfere with the operation of the platform.
- 13.
Amendments and Updates
- a)
The platform reserves the right to amend or update these terms at any time.
- b)
Vendors will be notified of material changes via email or in-app notice.
- c)
Continued use of the service implies agreement to the updated terms.
- 14.
Governing Law and Jurisdiction
- a)
This Agreement is governed by the laws of the United Arab Emirates.
- b)
Any dispute shall be submitted to the exclusive jurisdiction of the courts of the UAE.

Acceptance
- a)
By registering, paying the fee, or using the platform, you confirm that you:

Have read and understood these Terms and Conditions.
- c) Agree to be legally bound by them.
- d)
Take full responsibility for all content, conduct, and commercial activities performed on the platform.

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Application shall be resolved in the courts located in the United Arab Emirates.
